Community Terms
1. Scope of Application
These Spryker Community Terms govern the registration for and the use of the platform provided under (the “Spryker Community Platform” aka "CommerceQuest") and are deemed to be accepted upon registration.
Use of the Spryker Community Platform is permitted only to businesses within the meaning of Section 14 of the German Civil Code (BGB) and their representatives who are of legal age (each a “User”). Spryker does not consider any of the Users to use the Community Platform in its capacity as a consumer.
Terms and conditions of a User or a business such User represents do not apply.
2. The Community Platform
The Spryker Community Platform is provided by Spryker Systems GmbH, Heidestraße 9-10, 10557 Berlin, Germany ("Spryker") free of charge and aims at enabling customers, partners and interested third parties (the “Spryker Community”) to engage more with Spryker on its products and services
The Spryker Community Platform offers a place to discuss (e.g. in open discussions or around planned events), information resources, and support from Spryker. The Spryker Community Platform does not offer or replace customer support and must not be used to request it. Any provisions on customer support in the agreement between the respective customer and Spryker remains unaffected.
3. Registration
In order to use the Spryker Community Platform, you must register by creating a password-protected user account (“Account”). You are not allowed to create an Account by automatic means, including by using automatic devices, scripts or robots, spiders, crawlers or scraper services.
You can do so by using the embedded registration form. The information requested by Spryker during registration (email address, username, first name, company, password, reason for wish to join the Spryker Community) must be provided completely and accurately. After having provided all required information and accepting these Spryker Community Terms, you can click on “Register”. This is considered your registration request.
After submission of your registration request, an administrator of the Spryker Community will review your registration request and approve it in their own discretion. The approval will be sent to you by way of an email (conclusion of the contract). You also will be asked to confirm your email address before you can use your Account.
If you have been a member of the Spryker Community in Slack prior to moving to the Spryker Community Platform, Spryker may initiate your registration by setting up an Account for you, send you an email and ask you to confirm your registration.
4. User Accounts and User Profiles
You must keep your password confidential and carefully protect your Account against unauthorized access by third parties. If you become aware of any misuse of your Account by third parties, you must immediately inform Spryker.
After your registration is complete, you will have access to your Account, where you can personalize information about you and set your preferences.
Spryker will also use its own database and an additional community growth engine and aim at enriching your profile by connecting it to your public LinkedIn profile, Slack account, Twitter profile, Stackoverflow account, Reddit account or Youtube account.
5 . User’s Obligations
Users must not use the Spryker Community Platform to post any material which is
- considered confidential information of one of Spryker’s customers,
- false or inaccurate,
- defamatory,
- Abusive, obscene, profane or vulgar,
- hateful, threatening or harassing (including sexually),
- invasive regarding a person’s privacy or which contains special categories of personal data according to Art. 9 of the GDPR,
- violating someone else’s copyright, or
- otherwise violates any law.
Users must not use the Spryker Community Platform to post advertisements, chain letters, pyramid schemes or solicitations.
Spryker is not liable for content published or made available on the Spryker Community Platform and assumes no obligation to examine any content before it is published.
6. Spryker’s Rights and Obligations
Spryker will keep the Community Engagement Platform available for 99,5 %of the time based on one calendar year. “Available” means that the essential core functions of the Spryker Community Platform can be used without major restrictions. Availability of the Community Engagement Platform can be temporarily limited or interrupted due to maintenance work or in order to troubleshoot malfunctions or system breakdowns as fast as possible. If necessary, Users will be appropriately notified of this.
Spryker may remove any content for any reason, including a violation of the above obligations of Users. Spryker may also expel a User for violating an obligation or using the Spryker Community Platform for inappropriate actions. After Spryker has expelled a User, the affected User is no longer allowed to use the Spryker Community Platform, irrespective of with other, already existing Accounts, or by creating a new Account.
7. Rights of Use
Spryker grants you all rights that are necessary to use the Spryker Community Platform in the permitted manner.
You grant a non-exclusive, sub-licensable license to Spryker, which is unlimited in time but locally unlimited, to all digital content published on the Spryker Community Platform for use on and in connection with the operation of the Spryker Community Platform. For example, this includes the right to host, secure, and provide access to such content to other Users in accordance with these Spryker Community Terms and to grant corresponding sub-licenses to the same. It also includes the rights which are necessary to facilitate thumbnails and previews of media, comments, and a search tool.
You also grant Spryker the right to use your content and/or feedback provided via or in connection with the Spryker Community Platform to improve the Spryker Community Platform and/or Spryker’s products and/or services.
8. Limitation of Liability and Indemnification
Spryker is not liable for content that a user adds to its personal account and profile; this applies in particular, but not exclusively, to information provided in individual job linkings and their timeliness, correctness, completeness or quality, or for other content associated with a job listing or the Spryker community platform; as third-party content, it is the sole responsibility of the person who independently provides the content for and/or in connection with the Spryker job posting and/or the Spryker community platform.
You indemnify Spryker against all claims that third parties may assert against Spryker in connection with your profile and account and/or your job posting(s).
9. Final provisions
Spryker shall only be liable to the extent not excludable for services provided free of charge.
German laws shall apply without its conflict of law provisions. Any dispute arising from ir in relation to these Spryker Community Terms will be resolved before the courts of Hamburg.
Should any provisions contained herein be or become invalid or ineffective in whole or in part, this shall not affect the validity of the remaining provisions.
